1. Acceptance of Terms

By accessing or using the websites operated by Innotek Solutions Ltd (Company No. 06775387) — including innoteksolutions.co.uk and innotekseoai.com — or by creating an account on the InnotekSEO AI platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.

These Terms constitute a legally binding agreement between you and Innotek Solutions Ltd, registered at 7 Beechpark Way, Watford, WD17 3TY, United Kingdom.

2. Description of Service

InnotekSEO AI is a Generative Engine Optimization (GEO) platform built and operated by Innotek Solutions Ltd. The platform provides tools for measuring and improving your brand's visibility in AI-powered search engines, including:

• GEO audits measuring Entity Clarity, Fact Density, and Schema Completeness.
• AI citation tracking across ChatGPT, Claude, Perplexity, Gemini, and Google AI Overviews.
• Competitor research and benchmarking.
• Schema markup generation and HTML remediation.
• Bulk analysis tools for meta tags and structured data.
• BYOK (Bring Your Own Key) toolkits powered by OpenAI, Anthropic, and Google AI models.
• Native Model Context Protocol (MCP) integration for Claude.

The platform is available in three tiers: Free, Pro, and Enterprise. Feature availability varies by plan. We reserve the right to modify, update, or discontinue features with reasonable notice.

5. BYOK (Bring Your Own Key) Terms

The InnotekSEO AI platform allows you to connect your own API keys from third-party AI providers (OpenAI, Anthropic, Google) to power certain tools and features. By using the BYOK feature, you acknowledge and agree that:

• You are solely responsible for maintaining valid API keys and managing your usage and costs with the respective AI provider.
• Your API keys are encrypted at rest using AES-256-GCM encryption and are only decrypted at the moment of use to process your request.
• Data sent to third-party AI providers through BYOK is subject to the respective provider's terms of service and privacy policy. Innotek Solutions is not responsible for how third-party providers handle your data.
• We do not monitor, log, or retain the content of requests made through your BYOK API keys beyond what is necessary for platform operation.
• If your API key is revoked, expired, or has insufficient credits, the associated BYOK features will not function. This does not entitle you to a refund.

3. Account Registration

To access certain features of InnotekSEO AI, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Keep your password confidential and not share it with any third party.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately of any unauthorised access or security breach.

You must be at least 16 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Pricing and Payment

Paid plans (Pro and Enterprise) are billed in British Pounds Sterling (GBP). We offer both monthly and annual billing cycles. Annual plans are billed upfront for the full year at a discounted rate.

• All payments are processed securely through Stripe. We do not store your payment card details on our servers.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — no partial refunds are provided for the remaining time in a billing cycle.
• We reserve the right to change pricing with at least 30 days' written notice. Price changes will apply from the start of your next billing cycle following the notice period.
• Enterprise plans may be subject to custom pricing and separate agreements. Contact us for details.

All prices are exclusive of VAT unless otherwise stated. VAT will be applied where applicable in accordance with UK tax legislation.

6. Acceptable Use

You agree not to use our services to:

• Violate any applicable local, national, or international law or regulation.
• Generate, distribute, or promote misleading, fraudulent, or deceptive content.
• Attempt to gain unauthorised access to our systems, other users' accounts, or third-party services.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Use automated scripts, bots, or crawlers to access the platform beyond the provided API, except where expressly permitted.
• Resell or redistribute platform access without our written permission (except under Enterprise white-label agreements).
• Interfere with or disrupt the integrity or performance of the platform.

We reserve the right to suspend or terminate your account and access to the platform if you violate these acceptable use terms.

7. Intellectual Property

All content, features, and functionality of the InnotekSEO AI platform — including but not limited to text, graphics, logos, icons, algorithms, GEO scoring methodologies, and software — are the exclusive property of Innotek Solutions Ltd and are protected by UK and international copyright, trademark, and intellectual property laws.

You retain ownership of all content you input into the platform and all outputs generated from your data (such as GEO audit reports, schema markup, and remediation HTML). You grant us a limited licence to process your content solely for the purpose of providing the service.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• We do not guarantee that using our GEO tools will result in specific improvements to your AI search visibility, rankings, or traffic.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
• Our total aggregate liability for any claim arising from or related to these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.
• We are not responsible for costs incurred through your use of third-party BYOK API keys, nor for any actions taken by third-party AI providers.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

9. Termination

You may terminate your account at any time by contacting us or using the account settings within the InnotekSEO AI platform. Upon termination:

• Your access to paid features will continue until the end of your current billing period.
• Your account data, including GEO reports and saved configurations, will be retained for 30 days to allow recovery, after which it will be permanently deleted.
• Your BYOK API keys will be deleted immediately upon account deletion.

We reserve the right to suspend or terminate your account immediately and without notice if you materially breach these Terms, engage in fraudulent activity, or pose a security risk to the platform or other users.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

11. Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and notify registered users via email at least 30 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms.
